Chop It Up provides professional video editing services on a subscription basis. Our Services include, but are not limited to:

• Sound design and audio editing
• Custom video projects

Chop It Up reserves the right to modify, suspend, or discontinue any aspect of our Services at any time.

4. Subscription and Payment

Chop It Up offers subscription-based services with different tiers and pricing options. By subscribing to our Services, you agree to pay the applicable fees as described on our website.

All payments are processed securely through our payment processors. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected.

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Services until the end of your current billing period, but you will not receive a refund for any unused portion of your subscription.

5. User Content and Licenses

By submitting Content to Chop It Up for editing, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize Chop It Up to use the Content.
• Your Content does not violate any third-party rights, including intellectual property rights and privacy rights.
• Your Content complies with these Terms and all applicable laws and regulations.

You retain ownership of your Content. However, you grant Chop It Up a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and create derivative works of your Content solely for the purpose of providing our Services to you.

Chop It Up may, with your explicit permission, use edited versions of your Content for promotional purposes, such as in our portfolio or marketing materials.

6. Prohibited Content

You agree not to submit Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes on any patent, trademark, trade secret, copyright, or other intellectual property rights
• Contains sexually explicit material, violence, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age
• Violates any third-party rights or agreements
• Contains software viruses or any other code designed to interrupt, destroy, or limit the functionality of any computer software or hardware

Chop It Up reserves the right to refuse service, terminate accounts, and remove or edit Content at our sole discretion.

7. Intellectual Property

The Chop It Up name, logo, website, and all content, features, and functionality provided by Chop It Up (excluding User Content) are owned by Chop It Up and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, or create derivative works of any Chop It Up content or materials without our express written consent.

8. Confidentiality

Chop It Up respects the confidentiality of your Content and business information. We will not disclose your confidential information to any third party except as necessary to provide our Services or as required by law.

9. Limitation of Liability

In no event shall Chop It Up's total liability to you for all claims exceed the amount paid by you to Chop It Up for the Services during the twelve (12) months preceding the event giving rise to the liability.

You agree to indemnify, defend, and hold harmless Chop It Up and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your Content
• Your violation of these Terms
• Your violation of any rights of another person or entity

11. Termination

Chop It Up may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
